Terms of Service

Effective date: February 2026

These Terms of Service (“Terms”) govern your access to and use of Certify+, a certificate generation platform operated by Cybernest Solutions (“we”, “us”, or “our”). By creating an account or using Certify+, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Certify+, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using Certify+ on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use Certify+.

2. Description of Service

Certify+ is a software-as-a-service (SaaS) platform that enables organizations to:

• Design certificate templates using a visual builder
• Generate digital certificates in bulk with unique verification codes
• Deliver certificates to recipients via email
• Verify certificate authenticity through QR codes and public verification pages
• Manage signatories, recipients, and certificate records

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. Account Registration

To use Certify+, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Register only one organization account per legal entity
• Maintain the confidentiality of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Subscription Plans

Certify+ is available under the following subscription tiers:

• Free — Limited certificate generation and storage with basic features
• Starter — Increased quotas and additional features for small organizations
• Business — Higher limits and advanced features for larger organizations

All paid subscriptions are billed in Philippine Peso (PHP) and processed through PayMongo. By subscribing to a paid plan, you authorize us to charge your selected payment method on a recurring basis until you cancel.

We reserve the right to change pricing with at least 30 days’ notice. Price changes will take effect at the start of your next billing cycle.

5. Acceptable Use

You agree not to use Certify+ to:

• Generate fraudulent, misleading, or counterfeit certificates
• Impersonate any person, organization, or government entity
• Issue certificates that misrepresent qualifications, credentials, or achievements
• Engage in any activity that violates applicable local, national, or international law
• Upload or distribute malicious content, including malware or harmful code
• Use automated scripts, bots, or scraping tools to access or extract data from the platform
• Attempt to gain unauthorized access to other users’ accounts or data
• Interfere with the operation, performance, or availability of the platform

Violation of this policy may result in immediate suspension or termination of your account without prior notice.

6. Intellectual Property

Our platform: Certify+, including its source code, design, features, documentation, and branding, is owned by Cybernest Solutions and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the platform without our written consent.

Your content: You retain full ownership of your certificate designs, template configurations, uploaded assets, recipient data, and generated certificates. By using Certify+, you grant us a limited license to host, store, and process your content solely for the purpose of providing the service.

7. Certificate Verification

Certify+ provides a public verification system that allows third parties to confirm the authenticity of certificates via QR codes and unique verification codes. This verification service is provided as-is.

Verification pages are publicly accessible and display the certificate holder’s name, certificate title, issuing organization, and issue date. By generating certificates through Certify+, you acknowledge and consent to this public display of verification information.

We do not guarantee uninterrupted availability of the verification service and are not liable for any decisions made by third parties based on verification results.

8. Data Privacy

Your use of Certify+ is governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

We process personal data in compliance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) and its Implementing Rules and Regulations. By using Certify+, you consent to the data practices described in our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Certify+ is provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not warrant that the service will be uninterrupted, error-free, or secure.
• Cybernest Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• Our total liability for any claim arising from your use of Certify+ shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

By you: You may terminate your account at any time by contacting us at hello@cybernestsolution.com. Upon termination, you will have 30 days to export your data (certificates, templates, and recipient records). After this period, your data will be permanently deleted.

By us: We may suspend or terminate your account if you violate these Terms, engage in prohibited activity, or fail to pay applicable subscription fees. In cases of termination by us, we will provide reasonable notice unless immediate action is required to protect the platform or other users.

Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles. Any disputes arising from these Terms or your use of Certify+ shall be resolved exclusively in the courts of Manila, Philippines.
